Richelle advises companies, lenders and stakeholders on matters related to sales conducted pursuant to Article 9 of the Uniform Commercial Code and intangible asset sales. She brings to bear a unique skill set combining two decades of M&A and legal deal experience.
She is responsible for developing a defensible approach to commercially reasonable sale processes under Article 9, and is adept at managing and leveraging the unique dynamics surrounding those processes. Her foundation – first on the legal side, then on the deal side – comes from managing the sale of intangible assets, including brands, software, patent portfolios, digital assets, data and marketplace accounts. She is known for bringing structure, judgment, and relentless attention to detail to transactions involving assets that are often difficult to define, value, preserve, and sell.
Richelle has advised on intellectual property and intangible asset sales in bankruptcy cases, Article 9 foreclosure transactions, out-of-court sale processes, receiverships, and assignments for the benefit of creditors. She has experience on both the sell-side and buy-side and regularly works with companies and stakeholders navigating the unique challenges presented by intangible assets, including privacy, transferability, licensing, and asset preservation. She also works closely with consumer privacy ombudsmen when appointed in connection with the sale of personally identifiable information in bankruptcy. In sell-side mandates, she develops and executes tailored sale processes designed to uncover value, reach the right buyers, and withstand scrutiny.
She is a frequent speaker and contributor on asset sales, intangible assets, data, and the evolving impact of artificial intelligence on asset value, monetization, and risk. She brings a practical perspective to complex topics at the intersection of restructuring, intellectual property, technology, and deal execution.
Before founding Silhouette Advisors, Richelle was the Chief Commercial Officer at an asset advisory firm specializing in IP disposition and valuation. Prior to that, she was a member of the restructuring group at Cooley LLP for nearly a decade, where she managed M&A transactions for some of the nation’s most prominent retailers, consumer products companies, hotels, and restaurants. She began her career in the restructuring group at King & Spalding LLP.
